Article 1: Scope of Application

These Terms and Conditions apply to all services, products, subscriptions, digital services, consulting, creative production, Aerial Intelligence services, white-label services, online portals, visual content production, and related transactions provided by 33Visual.

By purchasing, approving, engaging, or otherwise authorizing services from 33Visual, the client agrees to these Terms and Conditions, unless a separate written agreement signed by both parties states otherwise.

33Visual provides corporate visual communications, storytelling, photography, video, design, content development, multimedia production, digital post-production, Aerial Intelligence, VR tours, photogrammetry-based visual models, 3D models, digital asset portals, and related online services.

Article 2: Client Eligibility

Services are available only to individuals or legal entities legally able to enter into binding agreements.

For business, corporate, industrial, drone, consulting, and online services, the client must be at least 18 years old or be an authorized representative of a company, organization, institution, or public entity.

33Visual may refuse or cancel any order, project, subscription, or service if the client is not legally authorized to purchase or approve the service.

Article 3: Services Covered

These Terms apply to, but are not limited to:

Corporate storytelling
Photography
Video production
Drone photography and videography
Aerial Intelligence
Aerial data acquisition
Site documentation
Construction progress documentation
Industrial and infrastructure visual documentation
Photogrammetry-based visual models
3D models and immersive visual environments
Thermal imaging, when applicable
VR and 360° tours
Digital asset portals
Online platform integration
White-label pages and embedded tour viewers
Website or landing page setup
Consulting, training, workflow design, and implementation support

33Visual’s Aerial Intelligence services are designed to support visual documentation, progress tracking, inspection workflows, stakeholder communication, and operational decision-making.

33Visual does not provide land surveying, ground surveying, certified survey services, engineering surveys, boundary surveys, legal surveys, or professional engineering opinions. Any deliverable requiring certification by a licensed surveyor, engineer, architect, or other regulated professional must be provided or validated by the appropriate licensed professional.

Article 4: Project Authorization and Acceptance

A project is considered authorized when the client:

Approves a proposal, estimate, quote, statement of work, invoice, or online checkout
Pays a deposit, setup fee, subscription, or full project fee
Provides written approval by email, message, purchase order, contract, or other documented communication
Grants site access or requests that 33Visual begin work

Approval of any project implies full acceptance of these Terms and Conditions.

Article 5: Pricing and Currency

Prices may be listed in U.S. dollars, Mexican pesos, euros, or another agreed currency, depending on the project, client location, and scope.

Unless expressly stated otherwise, prices do not include taxes, permits, travel, lodging, meals, shipping, platform subscriptions, third-party software fees, licensing fees, insurance certificates, government fees, or extraordinary site-access costs.

33Visual may update pricing at any time. However, once a proposal has been accepted and the required payment has been made, the agreed price will apply to that approved scope.

Article 6: Payment Terms

Payment terms will be defined in the applicable proposal, invoice, checkout page, or written agreement.

Unless otherwise stated:

Deposits, setup fees, subscriptions, and online service fees are due immediately.
Production, fieldwork, online setup, or consulting work may not begin until the required payment is received.
Final deliverables may be withheld until all outstanding balances are paid.
Late payments may delay delivery, portal access, publishing, editing, revisions, hosting, or project continuation.

For recurring services, the client authorizes recurring billing according to the selected plan or agreement.

Article 7: Deposits, Setup Fees, and Cancellations

Deposits, setup fees, onboarding fees, and service activation fees are generally non-refundable once work has begun.

If a client cancels after project approval, the client remains responsible for all work performed, committed crew time, production planning, purchased materials, platform fees, travel arrangements, licenses, subcontractor fees, and any other costs incurred before cancellation.

If cancellation occurs less than 72 hours before a scheduled production day, site visit, drone operation, field deployment, remote setup session, or consulting session, 33Visual may charge a cancellation or rescheduling fee.

Article 8: Travel, Lodging, and Expenses

Travel, lodging, meals, transportation, equipment shipping, baggage, local permits, access fees, parking, tolls, site escorts, security, and other project-related expenses are not included unless expressly stated in writing.

The client is responsible for approved travel expenses related to visits to its facilities, field operations, production days, consulting sessions, or project-related meetings.

Article 9: Changes in Scope

Any services, deliverables, locations, production days, revisions, output formats, platform integrations, pages, scans, interviews, edits, or technical requests not included in the approved scope are considered additional services.

Additional services require client approval and may incur additional costs.

Article 10: Client Responsibilities

The client is responsible for providing accurate, complete, and timely information required for the project, including but not limited to:

Brand assets
Logos
URLs
Platform access
Online platform links
Copy and text approvals
Site addresses
Contact information
Property access
Security requirements
Safety procedures
Interview subjects
Legal permissions
Location releases
Property releases
Drone or filming permissions when controlled by the client
Technical requirements
Billing information

Delays caused by incomplete or late client information may delay delivery and may result in additional fees.

Article 11: Site Access and Permissions

For on-location work, the client is responsible for securing access to the site unless otherwise agreed in writing.

This may include permission from property owners, tenants, landlords, municipalities, security teams, construction managers, facility managers, or other controlling authorities.

For drone, photogrammetry, scanning, inspection, or heritage-related work, site access, permissions, hazards, restrictions, and safety requirements must be communicated in advance.

33Visual may delay, modify, or decline any operation if the required permissions, safety information, access, or site conditions are not adequate.

Article 12: Drone Operations and Aerial Intelligence

All drone operations are subject to applicable laws, regulations, airspace restrictions, weather conditions, safety protocols, site conditions, pilot judgment, and operational feasibility.

33Visual reserves the right to delay, modify, reschedule, reduce, or cancel any drone operation if, in 33Visual’s judgment, the operation cannot be conducted safely, legally, or professionally.

Reasons may include, but are not limited to:

Weather
Wind
Rain
Lightning
Poor visibility
Airspace restrictions
Temporary flight restrictions
Interference
Crowds
Moving vehicles
Hazardous materials
Unsafe site conditions
Equipment issues
Lack of permissions
Client pressure to operate outside legal or safety limits

The Remote Pilot in Command, drone operator, project lead, or designated 33Visual representative has final authority over whether a drone operation may proceed.

Article 13: Data Accuracy and Technical Deliverables

Aerial Intelligence, mapping, photogrammetry, 3D modeling, VR tours, point clouds, orthomosaics, thermal imagery, digital twins, and other technical outputs are professional visual and data products intended to support documentation, communication, inspection workflows, progress tracking, and decision-making.

33Visual does not provide land surveying, ground surveying, certified survey services, engineering surveys, boundary surveys, legal surveys, civil engineering opinions, structural engineering opinions, architectural certifications, environmental certifications, or regulatory compliance certifications.

Accuracy depends on site conditions, equipment, flight altitude, lighting, weather, obstructions, ground control provided by others, software processing, coordinate systems, platform limitations, and client-provided requirements.

Unless expressly stated in writing, 33Visual deliverables are not intended to replace services provided by licensed land surveyors, engineers, architects, environmental consultants, safety consultants, or other regulated professionals.

Article 14: Online Platform Integration

33Visual may integrate client deliverables with online platforms, digital viewers, embedded experiences, asset portals, hosting systems, map tools, video platforms, VR platforms, inspection platforms, analytics tools, payment processors, or other third-party systems.

These services are referred to generally as online platform integration.

33Visual is not responsible for outages, policy changes, pricing changes, feature limitations, data loss, discontinued services, embed restrictions, browser compatibility issues, hosting changes, API changes, branding changes, or any other issue caused by third-party platforms.

If a third-party platform changes its functionality, pricing, branding, access permissions, embed rules, or technical requirements, additional work may be required and billed separately.

Article 15: White-Label and Online Services

White-label services may include page setup, embedded tour viewers, client-branded pages, custom domains, landing pages, iframe embeds, navigation menus, portal layouts, visual presentation, and compatible online platform integration.

Unless expressly stated, white-label services do not include:

Ownership of the underlying third-party platform
Guaranteed uptime
Custom software development
Cybersecurity monitoring
CRM configuration
Email automation setup
Legal compliance review
Domain purchase
DNS management after initial setup
Ongoing maintenance
Unlimited revisions
Support for unsupported or restricted third-party links

The client is responsible for ensuring that any URL, content, logo, brand asset, or embedded material supplied to 33Visual is lawful, authorized, and suitable for publication.

Article 16: Hosting, Access, and Subscriptions

Some services may require recurring hosting, maintenance, portal, software, or subscription fees.

If a recurring payment fails, is canceled, or is not renewed, 33Visual may suspend access to hosted pages, portals, white-label viewers, embedded experiences, digital assets, analytics, or related services.

Suspension of service does not delete the client’s obligation to pay outstanding balances.

33Visual may archive, disable, or remove unpaid services after reasonable notice.

Article 17: Delivery Timelines

Delivery timelines are estimates unless expressly stated as guaranteed in writing.

Delivery may be affected by:

Weather
Travel
Client delays
Site access
Revisions
Permits
Drone restrictions
Third-party platform performance
Data processing time
Incomplete information
Payment delays
Change requests
Force majeure events

33Visual will make reasonable efforts to meet agreed timelines, but is not responsible for delays caused by conditions outside its control.

Article 18: Revisions and Approvals

The number of included revisions will be defined in the proposal, invoice, checkout, or project agreement.

Unless otherwise stated, revisions must be requested within 15 days of delivery.

Revisions outside the approved scope, excessive revisions, changes after approval, new creative direction, replacement of client-provided materials, new URLs, new platform requirements, or requests requiring substantial rework may be billed separately.

Silence, lack of feedback, or failure to request changes within 15 days of delivery may be treated as approval.

Article 19: Creative Direction and Editorial Control

33Visual will use professional judgment in creative, technical, editorial, and production decisions.

The client may provide brand guidelines, messaging goals, and preferences, but 33Visual retains discretion over production methods, capture strategy, edit structure, visual style, technical workflow, and final assembly unless specific requirements are agreed in writing.

Article 20: Ownership of Raw Materials

Unless expressly stated otherwise, raw footage, raw photographs, project files, working files, unedited drone data, editing timelines, source files, software project files, design files, code snippets, internal workflows, templates, and production methods remain the property of 33Visual.

Final approved deliverables are licensed or transferred according to the terms of the applicable proposal or agreement.

If the client requires raw files, expanded usage rights, source files, editable files, or platform transfer, those must be agreed in writing and may incur additional fees.

Article 21: Intellectual Property and Usage Rights

Unless otherwise agreed in writing:

33Visual retains copyright and ownership of all original creative work, raw materials, project files, production files, visual assets, code frameworks, templates, and methodologies created by 33Visual.
The client receives a license to use the final approved deliverables for the purposes defined in the project scope.
The client may not resell, sublicense, redistribute, alter, train AI models with, or transfer deliverables outside the approved scope without written permission.
Third-party licenses, music, stock footage, fonts, software, plugins, maps, platforms, and other external assets remain subject to their own license terms.

Article 22: Portfolio, Promotional Use, and Case Studies

Unless confidentiality restrictions are agreed in writing, 33Visual may use project results, behind-the-scenes material, final deliverables, screenshots, embeds, metadata, project descriptions, and related materials for portfolio, awards, case studies, website, social media, sales presentations, internal training, and promotional purposes.

For sensitive, confidential, industrial, security-related, or private projects, 33Visual will respect agreed confidentiality requirements and may request client approval before public use.

Article 23: Confidentiality

Both parties agree to protect confidential information shared during the project.

Confidential information may include business plans, security protocols, site layouts, industrial processes, unpublished content, access credentials, employee information, proprietary data, financial terms, technical documentation, and other non-public information.

Confidentiality does not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

Article 24: Client-Provided Materials

The client represents that it owns or has permission to use all materials provided to 33Visual, including logos, images, videos, music, copy, maps, data, CAD files, property information, URLs, platform links, trademarks, and brand assets.

The client agrees to indemnify 33Visual against claims arising from unauthorized, inaccurate, infringing, or unlawful materials supplied by the client.

Article 25: Privacy and Personal Data

33Visual may collect personal information necessary to provide services, including names, emails, phone numbers, billing details, project information, login credentials, platform access details, and communication records.

33Visual will use personal data for project delivery, billing, communication, support, marketing where permitted, and legal compliance.

Clients are responsible for obtaining any required consent from employees, contractors, tenants, visitors, interview subjects, models, or other individuals whose image, voice, likeness, personal information, or property may appear in the project.

Article 26: Payment Processing

Online payments may be processed through third-party payment processors or other secure payment providers.

33Visual does not store full credit card information and is not responsible for payment processor errors, declined transactions, account holds, security practices, chargebacks, or service interruptions caused by the payment processor.

Article 27: Refund Policy

Because 33Visual provides custom creative, technical, consulting, production, setup, and digital services, payments are generally non-refundable once work has begun.

Refunds, if any, are at 33Visual’s discretion or as required by applicable law.

Subscription or hosting fees already paid are not refundable unless expressly stated in the applicable plan.

Article 28: Chargebacks and Payment Disputes

Before initiating a chargeback, the client agrees to contact 33Visual in good faith to resolve any billing issue.

If a chargeback is initiated after services have been provided, 33Visual may suspend access to deliverables, portals, hosted pages, white-label services, subscriptions, and ongoing work until the dispute is resolved.

The client remains responsible for valid fees, chargeback fees, collection costs, attorney fees, and unpaid balances to the extent permitted by law.

Article 29: No Guarantee of Business Results

33Visual may provide strategy, creative production, visual assets, analytics, portals, video, VR tours, Aerial Intelligence, and online services designed to support communication, engagement, documentation, inspection, marketing, or decision-making.

However, 33Visual does not guarantee specific business outcomes, sales, leads, revenue, approvals, insurance results, regulatory decisions, audience engagement, search rankings, social media performance, or platform analytics.

Article 30: Safety and Compliance

33Visual is committed to professional safety practices, regulatory awareness, and responsible field operations.

However, the client is responsible for providing accurate site information, safety rules, known hazards, access requirements, restricted zones, required PPE, emergency procedures, and any applicable site-specific compliance requirements.

33Visual may stop work if a site is unsafe or if required information has not been provided.

Article 31: Insurance

33Visual maintains insurance coverage appropriate to its operations, subject to policy terms, exclusions, and limits.

Certificates of insurance or additional insured endorsements may be provided when required and when reasonably available.

Any special insurance requirements, increased limits, unusual endorsements, or client-specific certificates must be requested before project approval and may require additional fees or lead time.

Article 32: Limitation of Liability

To the maximum extent permitted by law, 33Visual’s total liability for any claim arising from a project, service, subscription, deliverable, or transaction will not exceed the amount actually paid by the client to 33Visual for the specific service giving rise to the claim.

33Visual will not be liable for indirect, incidental, consequential, special, punitive, or economic damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or loss of opportunity.

Article 33: Indemnification

The client agrees to defend, indemnify, and hold harmless 33Visual, its owners, partners, employees, contractors, pilots, operators, vendors, and representatives from claims, damages, liabilities, costs, and expenses arising from:

Client-provided materials
Unauthorized use of third-party content
Site access issues
Unsafe site conditions not disclosed to 33Visual
Client instructions that violate law or safety standards
Misuse of deliverables
Client’s breach of these Terms
Claims by third parties related to client’s use of the work

Article 34: Force Majeure

33Visual is not responsible for delays or failure to perform caused by events beyond its reasonable control, including weather, natural disasters, accidents, illness, labor issues, government action, travel disruption, equipment failure, platform outages, internet outages, war, civil unrest, pandemics, strikes, supply chain issues, or unsafe conditions.

Article 35: Suspension or Termination of Services

33Visual may suspend or terminate services if:

Payment is late
The client fails to provide required information
The client requests unsafe or unlawful work
The client violates these Terms
The project becomes impractical, unsafe, or impossible
The client behaves abusively toward 33Visual personnel or contractors
Third-party platform access is revoked or unavailable

Upon termination, the client remains responsible for all work performed and costs incurred up to the termination date.

Article 36: Governing Law and Dispute Resolution

These Terms will be governed by the laws of the State of Texas, unless another jurisdiction is required by a signed written agreement.

Before filing any claim, both parties agree to attempt to resolve disputes in good faith through direct communication.

Venue for any dispute will be in the state or federal courts located in Harris County, Texas, unless otherwise required by law or agreed in writing.

Article 37: Entire Agreement

These Terms, together with any proposal, invoice, checkout page, written scope, statement of work, or signed agreement, represent the full understanding between 33Visual and the client for the applicable service.

If any provision is found unenforceable, the remaining provisions will remain in effect.
